This Registration Statement on Form S-8 is being filed for the purpose of registering an additional 6,620,800 shares of the Common Stock of Trevena, Inc. (the “Registrant”) to be issued pursuant to the annual automatic increase provision set forth in Section 3(a) of the Registrant’s 2013 Equity Incentive Plan, as amended.
